Corporate governance code or framework
A governance code is a document that contains the principles and rules for governing the organisation in an effective, accountable, and transparent way. It is a written corporate constitution that the Board and executives can use to set the framework for collective functioning. Sometimes these elements are covered comprehensively in the shareholders agreement or a strong national governance code under which the organisation operates. Sometimes organisations will develop their own code of good governance and may involve different parts of the organisation in the drafting process.
